Name and Purpose

Name: AREA 42 (Private Membership Association)

Purpose: To provide a private, members-only venue for education, community, life coaching, and responsible cannabis use. It hosts events, workshops, and gatherings, offering a safe and supportive space for members to connect, learn, create, and grow.
Structure and Governance

Founders: Jessie Keys and Ryan Keys, serve as the primary governing body and hold decision-making authority over operations, events, and membership policies.

Board of Directors: The Board of Directors will consist of, at minimum, three members who uphold the mission and integrity of the PMA. This always includes the founders, and an additional odd number of people so that any decisions can be voted on with a majority rule.

Election: Any VIP Member can be nominated as a new director. Directors shall be elected by a majority vote of the existing Board Members and VIP Members at the annual meeting. Elections shall be conducted in accordance with the association’s voting procedures, ensuring fairness and transparency.

Term Length: Each director shall serve a term of (1) year, in which their VIP membership must remain active and in good standing. Directors may be re-elected for additional terms, subject to a majority vote and board approval at the annual meeting.

Conditions: Directors must be active members of AREA 42 and demonstrate a commitment to the association’s mission and values. Directors must adhere to the community guidelines, maintain confidentiality, and act in the best interest of the association. Any director may be removed by a majority vote of the board for misconduct, failure to fulfill duties, or violation of bylaws. Directors must regularly attend board meetings and actively participate in association initiatives.
Membership Structure Requirements

Eligibility: Membership in AREA 42 is open to individuals who are at least 21 years of age and agree to abide by the association’s bylaws, policies, and community guidelines. Prospective members must demonstrate a commitment to the mission, values, and objectives of AREA 42 and complete the membership application process, receiving approval from the association. Additionally, all members must sign a private membership waiver acknowledging that their participation is voluntary and accepting all associated risks related to their involvement in AREA 42.

Non-Discrimination Policy: AREA 42 does not discriminate based on race, gender, sexual orientation, religion, nationality, disability, or any other protected status. Membership decisions are based solely on eligibility criteria and alignment with the association’s mission.

Membership Dues and Fees: Members must pay the dues associated with their chosen membership level. All payments are automatically set up on a recurring payment plan, which can be canceled at any time, without refund. Failure to pay dues may result in suspension or termination of membership.

Application and Approval Process: Prospective members must submit a membership application through the website, where applications will be reviewed by the board of directors. Membership approval is at the sole discretion of AREA 42 leadership.

Revocation and Suspension: Membership may be suspended or terminated if a member violates the bylaws, policies, or community guidelines of AREA 42, engages in misconduct, harassment, or disruptive behavior, fails to meet financial obligations related to membership dues, or acts in a manner that is detrimental to the association’s mission.
Member Rights and Responsibilities

Rights: Members have access to all scheduled AREA 42 events, workshops, gatherings, and activities permitted by their membership level, with all members also having access to Public Events. Additionally, members may recommend new individuals for membership and bring any concerns relating to current members to the board for review, ensuring that AREA 42 remains a safe, inclusive, and well-managed community.

Responsibilities: Members must pay any applicable membership fees or dues as required and adhere to AREA 42’s bylaws and community guidelines, ensuring that their actions align with the association’s mission. They are expected to safeguard all private or sensitive information shared within AREA 42, refraining from disclosing internal discussions, proprietary materials, or member details to non-members or external parties. Additionally, members should foster a culture of trust by respecting fellow members, avoiding conflicts of interest, and reporting any violations of the association’s policies.
Events and Activities
All members-only events are private and by invitation only with a (+1) ticket. Cannabis consumption is permitted at all private, members-only events. The PMA may host public events, educational workshops, and social gatherings for Public Members and non-members, which shall be clearly marked as “Family-Friendly." Any PMA members attending these events understand and agree not to engage in cannabis consumption on site and to remain respectful of the nature and intent of these events.
Liability and Disclaimers
All members acknowledge that they are participating voluntarily and assume full responsibility for their actions and any consequences thereof. The PMA, its founders, and directors are not liable for any injuries, legal issues, or other consequences arising from members’ actions. Any disputes arising from membership or association activities shall be resolved through binding arbitration, as outlined in the association’s dispute resolution policy.
Confidentiality and Non-disclosure
All member information is considered confidential and will not be shared outside of AREA 42 without explicit consent, except as required by law. Additionally, members agree not to disclose any information about the Private Membership Association (PMA) or its members to the public or media without prior consent from the Board of Directors.
Amendments and Notification Clause
The bylaws may be amended by a majority vote of the Board of Directors. This document may be updated at any time, for any reason, at the discretion of the AREA 42 Private Membership Association. Members will be notified of any changes immediately upon implementation through the member portal on the website (www.Area42Events.com). Continued participation in AREA 42 constitutes acceptance of any modifications to this document. No refunds will be issued; however, members will have until the end of the month to cancel their membership if they wish to do so as a result of these updates.
Dissolution
In the event that AREA 42 Private Membership Association is dissolved, any unused portion of membership dues paid in advance shall be prorated and refunded to members based on the remaining duration of their membership term. Refunds will be processed within a reasonable timeframe following dissolution, using the original payment method whenever possible.

Members are expected to engage in thoughtful, constructive discussions that foster healing and empowerment while avoiding misinformation, rumors, or disruptive behavior. Any disagreements should be resolved through respectful dialogue or by following AREA 42’s Dispute Resolution Policy.

Active participation is encouraged, as every member’s voice matters in strengthening the community’s mission and ensuring AREA 42 continues to be a collective effort in growth and support.
Compliance with Policies and Responsible Cannabis Use
Compliance with all AREA 42 bylaws, policies, and agreements is essential, and violations may result in warnings, suspension, or termination of membership. Responsible cannabis consumption is expected, with usage limited to designated areas to maintain a safe and respectful environment.
Community Support and Resource Sharing
AREA 42 thrives on collaboration and mutual aid, encouraging members to share relevant resources, personal projects, and self-promotion within the community. Advertising and promotions must align with the association’s values and mission.
Reporting Violations and Maintaining Safety
To maintain the integrity of the association, any violations of these guidelines should be reported to AREA 42 leadership. Reports will be handled confidentially and appropriately to ensure the safety and well-being of all members. AREA 42 is committed to upholding its mission of inclusivity, support, and empowerment, providing a safe haven for those who need it most.
Membership Terms and Conditions
Membership Eligibility
Membership in AREA 42 is open to individuals who meet the association’s criteria and agree to abide by its rules and regulations. Membership is granted at the sole discretion of the association.
Membership Fees and Dues
All members must pay the required membership fees as determined by AREA 42. Fees are non-refundable and must be paid upon enrollment. Failure to maintain dues may result in suspension or termination of membership.

Billing & Renewal: Membership fees will be automatically charged to the payment method on file at the beginning of each renewal period. By continuing your membership, you agree to these auto-renewal terms.

Cancellation Policy: Members may cancel their auto-renewal at any time through their account settings or by contacting AREA 42 support. Cancellation requests must be submitted before the renewal date to avoid charges for the next cycle.

Refunds: Membership fees are non-refundable once a renewal has been processed.

Price Adjustments: AREA 42 reserves the right to modify membership fees. Members will be notified of any pricing changes in advance through official communication channels.

Dispute Resolution Policy
Purpose
The purpose of this policy is to establish a fair and efficient process for resolving disputes that may arise between members, the association, or its leadership. AREA 42 is committed to maintaining a respectful and transparent environment for all members.
Scope
This policy applies to all disputes related to membership, association activities, and any agreements made within AREA 42.
Informal Resolution
Members are encouraged to resolve disputes amicably through direct communication. If a resolution cannot be reached, the matter may proceed to formal dispute resolution.
Mediation Process

If informal resolution fails, the disputing parties may request mediation.

A neutral mediator, appointed by AREA 42, will facilitate discussions to reach a mutually agreeable solution.

Mediation is voluntary, and both parties must agree to participate.
Binding Arbitration

If mediation does not resolve the dispute, the matter will proceed to binding arbitration.

A qualified arbitrator, selected by AREA 42, will review the case and issue a final decision.

The arbitrator’s decision is legally binding and enforceable.

Arbitration replaces the right to pursue litigation in court.
Confidentiality
All dispute resolution proceedings, including mediation and arbitration, will remain confidential. No party may disclose details of the dispute outside of the resolution process.
Costs
Each party is responsible for their own costs related to mediation and arbitration unless otherwise determined by the arbitrator.
Final Decision
The arbitrator’s ruling is final, and members agree to abide by the decision as a condition of membership in AREA 42.
